1. Parties & Agreement

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Client," "you," or "your") and Fragment de Soi, a registered brand and bespoke creative atelier with its principal place of business in Brooklyn, NY ("Fragment de Soi," "we," "us," or "our").

By accessing or using our website at fragmentdesoi.com (the "Site"), submitting a reservation, placing a commission, or engaging our services in any form, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, do not use this Site or our services.

We reserve the right to modify these Terms at any time. Continued use of the Site or our services following notice of any modification constitutes your acceptance of the updated Terms. Material changes will be communicated by updating the effective date below.

2. Our Services

Fragment de Soi is a bespoke luxury atelier offering made-to-order silk scarves created through our proprietary Poetic Algorithm™ — a multi-stage creative process that transforms personal memory into wearable textile art. Our services include:

• Individual bespoke commissions (the "Bespoke Service")
• Corporate gifting programs (the "Corporate Service")
• Limited edition seasonal releases
• Ancillary offerings including framed poem prints and archival poem cards

All services are subject to availability, atelier capacity, and the terms set forth herein. Fragment de Soi reserves the right to decline any commission at its sole discretion, in which case any deposit paid will be refunded in full.

Our services are available to individuals aged 18 or older. By placing a commission, you represent that you meet this age requirement.

3. Orders & Payment

Reservations & Deposits

A non-binding reservation may be secured with a $40 deposit, fully refundable until creative work commences. Submission of a reservation does not constitute a binding contract; a commission is confirmed only upon written acknowledgment from Fragment de Soi following receipt of the applicable deposit.

Payment Terms

Individual commissions require full payment upon written design approval. No piece enters production until payment is received and confirmed in writing. Corporate orders are governed by a separate Commission Agreement which may specify alternative deposit and payment structures (typically 50–70% upfront, with the balance due prior to shipment).

All prices are stated in U.S. dollars. Fragment de Soi reserves the right to adjust pricing at any time; however, pricing confirmed in a written order acknowledgment will be honored for that commission.

Production Timeline

Lead times of 4–8 weeks from written design approval are estimates and not guaranteed delivery dates. We are not liable for delays attributable to material sourcing, force majeure, or events outside our reasonable control. We will communicate proactively if your timeline is materially affected.

Cancellations & Refunds

Cancellations and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms by reference.

4. Intellectual Property

Fragment de Soi's Proprietary Rights

All content on the Site — including but not limited to design patterns, visual compositions, the Poetic Algorithm™, the Maison Signature System™, photography, copy, and brand assets — is the exclusive intellectual property of Fragment de Soi or its licensed contributors, protected under U.S. and international copyright and trademark law.

The mark FRAGMENT DE SOI is registered as a brand. The mark POETIC ALGORITHM™ is the subject of a pending trademark application (US Intent-to-Use, Class 25). Unauthorized use of these marks is strictly prohibited.

Your Commission

Upon receipt of final payment for your commission, Fragment de Soi grants you a non-exclusive, non-transferable, personal license to use and display the physical scarf and its accompanying poem card for personal, non-commercial purposes.

Fragment de Soi retains all underlying intellectual property rights in the pattern design and visual compositions created for your commission, including the right to use anonymized design elements in our portfolio, marketing materials, and future creative development, unless a separate written agreement provides otherwise.

You may not reproduce, resell, license, or commercially exploit any element of your commissioned piece without our prior written consent.

Corporate Co-Branding

Corporate clients who commission co-branded pieces (incorporating their logo, colors, or brand marks) represent and warrant that they hold all necessary rights to the brand materials provided. Fragment de Soi accepts no liability for intellectual property infringement arising from client-supplied brand assets.

5. Your Content & Privacy

Stories & Personal Narratives

The memories, words, and personal narratives you share with us to create your commission ("Client Content") remain yours. You grant Fragment de Soi a limited, confidential license to use your Client Content solely for the purpose of creating your commissioned piece.

We will never publicly share, reproduce, or attribute your personal narrative without your explicit, written consent. Testimonials, case studies, or social media features involving your commission require a separate, opt-in release signed by you.

Privacy

Fragment de Soi collects personal information — including name, email, shipping address, and payment information — solely to fulfill your commission and communicate with you about your order. We do not sell personal data to third parties. Payment information is processed through PCI-compliant third-party payment processors and is never stored on our servers.

By using the Site or commissioning a piece, you consent to the collection and use of your information as described herein.

6. Warranties & Limitation of Liability

Our Warranty

Fragment de Soi warrants that each commissioned piece will be free from manufacturing defects and will conform materially to the approved design. Our quality guarantee and remedy process are set forth in our Return & Refund Policy.

Natural variation in silk texture, hand-rolled hem finish, and subtle color differences between screen representation and physical production are inherent properties of artisanal silk and are not covered by this warranty.

Disclaimer

Except as expressly stated herein, the Site and its content are provided "as is" without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by applicable law, Fragment de Soi's total liability to you for any claim arising out of or related to these Terms or your commission shall not exceed the total amount paid by you for the specific commission giving rise to the claim.

Fragment de Soi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

7. Prohibited Uses

You agree not to use the Site or our services to:

• Reproduce, copy, or resell any portion of our content, designs, or proprietary processes without written authorization
• Submit false, misleading, or fraudulent information in connection with a commission
• Infringe the intellectual property rights of Fragment de Soi or any third party
• Use any automated means to access, scrape, or index the Site
• Engage in any conduct that disrupts, damages, or impairs the functioning of the Site
• Circumvent any technological protection measures employed on the Site
• Use our services for any unlawful purpose or in violation of any applicable regulation

8. Corporate Clients

Corporate engagements (orders of 30 or more units) are governed by a separate Commission Agreement executed between the corporate client and Fragment de Soi. That agreement supplements and, where in conflict, supersedes these Terms with respect to the specific corporate program.

Corporate clients represent and warrant that they have the authority to bind their organization to any Commission Agreement and that all brand materials, logos, and intellectual property provided for co-branding purposes are owned or licensed by the client.

Vendor NDAs are required for all corporate engagements involving proprietary design creation. All creative assets produced for a corporate commission remain the intellectual property of Fragment de Soi unless the Commission Agreement expressly provides for a transfer of rights.

9. Dispute Resolution

Informal Resolution

Before initiating any formal proceeding, you agree to contact us at atelier@fragmentdesoi.com and attempt to resolve the dispute informally. We will make good-faith efforts to address your concern within 15 business days.

Governing Law & Jurisdiction

These Terms and any dispute arising out of or relating to them or our services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

Waiver of Class Action

To the extent permitted by law, you waive any right to bring or participate in a class action, class arbitration, or any other representative proceeding against Fragment de Soi.

Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES PROVIDED HEREUNDER. This waiver applies whether the action sounds in contract, tort, statute, or any other legal or equitable theory. Each party acknowledges that this waiver is a material inducement to the other party to enter into this agreement and that it has had the opportunity to consult with counsel regarding this provision.

10. General Provisions

Entire Agreement

These Terms, together with our Return & Refund Policy, Shipping Policy, and any signed Commission Agreement, constitute the entire agreement between you and Fragment de Soi regarding your use of our services and supersede all prior understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
